Who Should Be on Your AI Governance Team? Roles, Structures, and How Leading Organizations Are Getting This Right
Most organizations are trying to govern AI tools with teams that were designed for something else. Here is what a purpose-built AI governance function actually looks like and how to get there from where you are.
Every organization has an AI governance problem right now. The problem is not that nobody cares about it. The problem is that too many people care about it in too many different ways, with too many different agendas, and no clear structure for turning all of that concern into coherent decisions.
Legal is worried about liability. IT is worried about security. Procurement is worried about contracts. The business teams are worried about being slowed down. The privacy team is worried about all of the above plus the regulatory exposure that nobody else is thinking about carefully enough. And somewhere in the middle of all of this, an AI tool assessment request is sitting in a queue, waiting for someone to take ownership of it.
The governance structure problem is real, and it is one of the primary reasons that AI tool assessments take too long, produce inconsistent outcomes, and fail to generate the documentation that organizations need when regulators come asking. This post is about how to fix it.
The Assessment Team First
Before talking about governance structures in the abstract, it is worth starting with the practical question that most privacy teams face every day. Who needs to be involved when a specific AI tool request comes in?
The answer depends on the risk profile of the request, but there is a core set of roles that should have defined involvement in most meaningful AI tool assessments.
The Privacy or Data Protection function.
This is the center of gravity for the assessment. The DPO or privacy team owns the regulatory analysis. They determine which frameworks apply, what the DPIA threshold analysis shows, what transfer mechanisms are required, and whether the conditions attached to an approval are adequate to manage the identified risks. They are the ones who sign their name, professionally speaking, to the designation decision.
In organizations with a formal DPO role under GDPR, the DPO's involvement is not optional. Article 39 of the GDPR requires the DPO to be involved in all matters relating to the protection of personal data, which includes the assessment of AI tools that process personal data. Organizations that run AI tool assessments without DPO involvement are not just creating governance gaps. They are potentially creating compliance failures.
Legal.
The privacy team analyzes the regulatory picture. Legal reviews and negotiates the contracts that translate that analysis into enforceable commitments. The distinction matters. A DPA that does not include the right provisions for AI processing is a legal drafting problem as much as it is a compliance analysis problem. The person who identified that the DPA needs specific AI provisions and the person who negotiates those provisions with the vendor do not have to be the same person, and in most organizations they are not.
Legal also owns the liability analysis that sits alongside the regulatory analysis. Regulatory compliance and legal liability are related but not identical. An organization can be technically compliant with GDPR while still having significant contractual exposure if the vendor's AI tool causes harm. Legal needs to be in the room for assessments involving tools with meaningful liability exposure.
Information Security.
Every AI tool assessment needs a security lens. Who at your organization has the technical background to evaluate whether a vendor's security certifications actually cover their AI features, whether the AI-specific risks like prompt injection and model extraction are being addressed, and whether the tool's access to organizational data is appropriately scoped?
In most organizations, this is someone from the information security or cybersecurity team. Their role in the AI tool assessment is not to duplicate the regulatory analysis but to evaluate whether the technical safeguards are adequate for the sensitivity of the data being processed and the risk profile of the use case.
For high-risk tools, especially those in healthcare, financial services, or critical infrastructure contexts, the security assessment is as important as the regulatory assessment. A tool can be contractually compliant and technically insecure at the same time.
IT and Architecture.
Separate from security, someone with an architectural view of how the tool will integrate with the organization's existing systems needs to be involved. This role is often undervalued in AI governance discussions because it seems more operational than compliance-oriented. In practice it is essential.
The architectural review determines what organizational data the tool will actually have access to, whether through explicit integration or through ambient data exposure. It determines what the data flow looks like in practice, not just in theory. And it identifies integration patterns that create compliance risks the privacy team would not otherwise know to look for.
An AI tool that, when integrated with your CRM, your HR system, and your document management platform, has effective access to a significantly broader data set than the intake form described is an extremely common discovery in architectural review. That discovery matters for the assessment.
The Requesting Business Team.
The business team that wants to use the tool is a stakeholder in the assessment, not a passenger in it. Their involvement serves two purposes.
The first is informational. The requesting team knows the use case in detail that the privacy team needs to conduct an adequate assessment. What data will actually flow through the tool in practice. What decisions the tool's outputs will influence. Who will use it and in what workflows. This information needs to come from the people who are actually going to use the tool, not from the vendor's marketing materials.
The second is accountability. When the assessment produces an Approved with Conditions designation, the conditions need to be owned and followed by the people using the tool. A requesting team that was involved in the assessment understands why the conditions exist and is more likely to take them seriously than a team that received a decision document from the privacy team without any context.
Procurement.
Procurement owns the vendor relationship and the contract negotiation. In organizations where AI tool assessments produce specific contractual requirements, such as DPA amendments, BAA addenda, or specific data processing commitments, procurement needs to be positioned to pursue those requirements with the vendor effectively.
Procurement also has visibility into the vendor relationship that the privacy team typically does not. Whether the vendor is responsive to compliance requests, whether similar requests have been made before, whether there is commercial leverage available to obtain stronger commitments. That context matters for how the assessment findings are prioritized and negotiated.
The Decision Authority Question
Knowing who should be involved in an assessment is only half of the structural question. The other half is who makes the decision.
In most organizations, this is genuinely unclear. The privacy team identifies compliance gaps. Legal reviews the contracts. Security evaluates the technical safeguards. And then everyone looks at each other to see who is going to say yes or no.
The absence of clear decision authority is one of the most significant structural problems in AI governance. When nobody has clear authority to make the designation decision, decisions get made by default rather than by design. The loudest voice prevails. The stakeholder with the most organizational leverage wins. The tool gets approved because the project deadline passed and nobody formally said no.
A functional AI governance structure assigns decision authority explicitly. For low-risk tools with no identified compliance gaps, decision authority can sit with the privacy team alone. For moderate-risk tools with resolved compliance gaps and documented conditions, decision authority might sit with the DPO with legal concurrence. For high-risk tools, tools involving special category data, or tools where significant compliance gaps remain unresolved, decision authority should require sign-off from a broader set of stakeholders including legal, security, and potentially executive leadership.
The escalation path matters as much as the default path. When there is disagreement about whether a tool should be approved, who resolves it? When a business team pushes back on conditions that the privacy team considers non-negotiable, who has the authority to hold the line? When a tool needs to be denied and the business impact is significant, who makes that call?
Organizations that have not answered these questions in advance answer them badly under pressure.
How Organizations Are Structuring AI Governance
Having established what the assessment team needs to look like, the broader question is how organizations are positioning that team within a larger governance structure.
The landscape is genuinely varied right now because AI governance as an organizational function is new. Organizations are building it in real time, often by extending existing structures that were designed for something adjacent but not identical. Here is what the emerging picture looks like.
The Extended Privacy Team Model.
The most common approach, particularly in organizations where the privacy team has been the primary home for data governance. AI tool assessment is treated as an extension of the existing vendor assessment or data protection function. The DPO or privacy lead owns the process, the assessment team is assembled on an ad hoc basis for each significant request, and the governance record lives in whatever system the privacy team uses for data protection documentation.
This model works reasonably well for organizations where the volume of AI tool requests is manageable and the privacy team has the capacity and technical credibility to drive assessments effectively. Its primary limitation is scalability. As AI tool request volume increases and the complexity of deployments grows, a privacy team that is also managing DPIAs, subject access requests, breach notifications, and regulatory inquiries will hit capacity constraints.
The AI Review Committee Model.
A cross-functional standing committee that convenes regularly to review AI tool requests. Membership typically includes representatives from privacy, legal, IT, security, and a rotating representative from the business side. Decisions are made collectively, with the committee chair, often the DPO or a senior legal officer, holding decision authority in cases where consensus cannot be reached.
The advantage of this model is that it distributes the assessment workload across functions and builds organizational AI literacy more broadly. The disadvantage is that committee-based decision-making is inherently slower than individual decision-making, and the coordination overhead can become significant as request volume grows.
The Dedicated AI Governance Function.
A small dedicated team with specific responsibility for AI governance, sitting either within the privacy or legal function or as a standalone unit reporting to a Chief AI Officer, a Chief Privacy Officer, or a Chief Risk Officer. This team owns the assessment process end to end, maintains the governance record, and serves as the organizational center of expertise on AI compliance.
This model is most common in larger organizations, heavily regulated industries like financial services and healthcare, and organizations where AI tools are deeply embedded in core business processes. It requires investment in headcount and in building a team with the right combination of regulatory knowledge, technical literacy, and process management capability. The return on that investment is a governance function that can handle high volume, complex assessments, and evolving regulatory requirements without being overwhelmed.
The Chief AI Officer Model.
A growing number of organizations, particularly in technology and financial services, have created a Chief AI Officer role with broad responsibility for AI strategy, AI risk, and AI governance. The CAIO typically chairs an AI governance committee, owns the organization's AI use policy, and has executive authority over AI deployment decisions.
The privacy team in organizations with a CAIO typically retains ownership of the regulatory compliance dimension of AI governance while the CAIO owns the broader risk and strategic dimensions. The relationship between the DPO and the CAIO is one of the more interesting organizational design questions in this space, because their remits overlap significantly and the potential for tension between regulatory compliance priorities and business enablement priorities is real.
Organizations that have resolved this tension successfully have typically done so by being explicit about the boundary between the two roles. The DPO owns regulatory compliance. The CAIO owns AI strategy and deployment governance. When those interests conflict, the resolution process is defined in advance rather than negotiated case by case.
The Roles That Are Consistently Underrepresented
Across all of the governance models described above, there are roles that are consistently present and roles that are consistently absent. The absent ones are often the ones whose absence creates the most significant governance gaps.
AI literacy across all roles.
The most pervasive gap in AI governance teams is not a missing role. It is a missing competency distributed across all roles. Effective AI governance requires people who understand not just the regulatory requirements but the technical realities of how AI systems work. How models are trained. What inference means in practice. Why outputs can be incorrect or biased even when the system is functioning as designed. What prompt injection is and why it matters. What the difference is between a narrow purpose-built model and a general-purpose foundation model.
Without this technical literacy, governance teams make decisions based on vendor representations that they cannot evaluate critically, find themselves unable to ask the right questions about AI-specific risks, and miss compliance gaps that would be obvious to someone with a clearer understanding of how the technology works.
Building AI literacy across the governance team is not a one-time training exercise. It is an ongoing investment in a rapidly evolving domain.
The business risk perspective.
AI governance teams are typically strong on regulatory compliance and relatively weak on business risk in the broader sense. The question of what happens to the organization if this AI tool fails, produces incorrect outputs, creates reputational damage, or causes harm to customers or employees is as important as the question of whether the DPA is adequate. Both questions belong in the governance process.
Organizations that bring a risk management perspective alongside the compliance perspective, whether through formal inclusion of the risk function or through cross-training of existing team members, make better governance decisions than those that treat AI governance as a purely compliance exercise.
The affected individual perspective.
This is the least common inclusion in AI governance processes and possibly the most important for ensuring that governance decisions reflect the values they are supposed to reflect. The people whose data flows through AI tools, whose decisions are influenced by AI outputs, and whose interests are at stake in AI governance decisions are rarely represented in the process that produces those decisions.
This does not necessarily mean including external stakeholders in every assessment. It means building processes that require the governance team to explicitly consider and document the perspective of affected individuals. What would the people whose data this tool processes think about this deployment if they knew about it? Would they consider the use case to be within the scope of what they consented to or would reasonably expect? Is the tool producing outcomes that serve their interests or primarily the interests of the organization deploying it?
These questions do not always change the governance decision. But asking them consistently produces better governance than not asking them.
Building the Function You Need
For organizations that are starting from scratch or significantly restructuring their AI governance approach, the practical path forward has a few clear starting points.
Start with the assessment team before worrying about the broader governance structure. Define who is involved in assessments, what each role contributes, and who holds decision authority. Getting the assessment process right is more immediately valuable than designing an elegant governance structure that does not yet have a functioning process underneath it.
Document the roles and responsibilities explicitly. A governance structure that exists only in people's heads is not a governance structure. It is an informal understanding that will break down when the people who hold it leave the organization or when the first significant disagreement about a governance decision occurs.
Build the escalation path before you need it. The question of who resolves disagreements about AI tool designations should be answered when there is no disagreement on the table, not when a contested decision is already in progress.
Invest in AI literacy across the team. Regulatory knowledge alone is not sufficient for effective AI governance in 2026. The teams that are doing this well have people who understand both the law and the technology well enough to ask the right questions about both.
And recognize that the governance structure you build today will not be the governance structure you need in three years. AI capabilities are evolving rapidly. Regulatory requirements are evolving rapidly. The volume and complexity of AI tool deployments in your organization will grow. Build a structure that can evolve rather than one that is optimized for the current moment.
The organizations that are getting AI governance right are not the ones that have found the perfect structure. They are the ones that have built the habit of taking governance seriously, investing in the capability to do it well, and improving their processes as the landscape changes.
That habit is the governance program. The structure is just the scaffolding.
