Effective Date: The date on which you click “I Accept and Begin Trial” (or complete trial signup) for the LegisGate platform.
Parties: LegisGate Inc., a Delaware corporation (“LegisGate,” “we,” “us,” or “our”) and you, the individual accepting this Agreement on behalf of yourself and the organization you represent (“Participant,” “you,” or “your”).
By starting a trial or clicking “I Accept and Begin Trial,” you represent that (a) you have read and understood this Agreement, (b) you have authority to bind the organization you represent, and (c) you agree to be bound by all terms of this Agreement. If you do not agree, do not use Trial Access.
1. Trial access
1.1 Grant of access
Subject to your compliance with this Agreement, LegisGate grants you a limited, non-exclusive, non-transferable, revocable license to access and use the LegisGate platform (“Platform”) solely for internal evaluation purposes during the Trial Period (“Trial Access”). Trial Access is strictly limited to the generation and review of AI Tool Intelligence Reports for your organization's own internal compliance evaluation purposes.
1.2 Trial period
The Trial Period begins on the Effective Date and continues for fourteen (14) days, unless earlier terminated by either party in accordance with Section 9, or extended by LegisGate in writing.
1.3 Trial scope
Trial Access is limited to two (2) AI Tool Intelligence Reports. LegisGate reserves the right to modify the scope of Trial Access at any time with reasonable notice.
1.4 No commercial use
You may not use Trial Access, the Platform, or any AI Tool Intelligence Reports generated during the Trial Period for any commercial purpose, including resale, redistribution, or use on behalf of third-party clients, without LegisGate's prior written consent.
2. Proprietary methodology and intellectual property
2.1 LegisGate IP
The Platform, including without limitation the compliance intelligence engine, deterministic rules architecture, mandatory finding injection system, jurisdiction footprint detection methodology, EU AI Act classification sequence, verification gate, report structure, output format, scoring methodology, and all underlying software, algorithms, data structures, regulatory datasets, and documentation (collectively, “LegisGate IP”) are and remain the exclusive property of LegisGate Inc. LegisGate IP includes methodology that is the subject of a pending patent application (USPTO Priority Date: March 2026).
2.2 No license to IP
Nothing in this Agreement grants you any right, title, or interest in or to LegisGate IP beyond the limited Trial Access described in Section 1.
2.3 No reverse engineering
You agree not to: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code, architecture, or methodology of the Platform; (b) attempt to replicate, recreate, or build a competing product based on observations of the Platform's output structure, finding logic, classification methodology, or report format; (c) use the AI Tool Intelligence Reports generated during the Trial Period as training data or input for any artificial intelligence system; or (d) permit any third party to do any of the foregoing.
2.4 Trial output ownership
AI Tool Intelligence Reports generated during your Trial Period are provided for internal evaluation purposes only. You may retain copies for your organization's internal compliance records. You may not share, publish, or distribute report content to any third party except your own legal or privacy counsel bound by professional confidentiality obligations.
3. Mutual confidentiality
3.1 Definition
“Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. LegisGate's Confidential Information includes the Platform architecture, engine methodology, finding injection logic, regulatory dataset structure, scoring formulas, pricing terms, and product roadmap. Your Confidential Information includes the specific AI tools you submit for assessment and your organization's compliance decisions.
3.2 Obligations
Each party agrees to hold the other party's Confidential Information in strict confidence, use it solely for purposes of this Agreement, and not disclose it to any third party without prior written consent.
3.3 Duration
Confidentiality obligations survive termination for three (3) years. Obligations with respect to trade secrets survive indefinitely.
4. Feedback license
4.1 Feedback
If you provide LegisGate with any suggestions, comments, corrections, ideas, or other feedback regarding the Platform or AI Tool Intelligence Reports (“Feedback”), you hereby grant LegisGate a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, transferable license to use, reproduce, modify, and exploit such Feedback in any form and for any purpose, including incorporation into the Platform, without any obligation of compensation, attribution, or accounting to you.
4.2 No obligation
LegisGate is under no obligation to use, respond to, or implement any Feedback.
5. No legal advice — important disclaimer
5.1 Intelligence reports are not legal advice
AI Tool Intelligence Reports are produced by a proprietary compliance intelligence engine combining deterministic regulatory rules with AI-assisted analysis. Reports do not constitute legal advice, legal opinions, or the practice of law. LegisGate is not a law firm and does not provide legal services.
5.2 No attorney-client relationship
Your use of the Platform does not create an attorney-client relationship between you and LegisGate.
5.3 Verification required
You are solely responsible for verifying all findings, citations, and regulatory interpretations in any AI Tool Intelligence Report before making compliance determinations or taking action based on report outputs. LegisGate strongly recommends that qualified privacy counsel review any report before your organization makes compliance decisions.
6. Disclaimers and limitation of liability
6.1 “As is” basis
THE PLATFORM AND ALL AI TOOL INTELLIGENCE REPORTS ARE PROVIDED DURING THE TRIAL PERIOD ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
6.2 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEGISGATE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).
7. Participant representations
You represent that: (a) you are at least 18 years of age; (b) you have full authority to bind the organization you represent; (c) your use of the Platform will comply with all applicable laws; and (d) you will not share your Trial Access credentials with any person outside your organization.
8. Data and privacy
LegisGate will handle information you provide in accordance with its Privacy Notice at legisgate.com/privacy. If your use of the Platform involves processing personal data subject to GDPR or other data protection law, contact legal@legisgate.com to request a Data Processing Agreement before submitting any personal data.
9. Term and termination
LegisGate may terminate this Agreement and your Trial Access immediately if you breach any provision. Upon termination, Sections 2, 3, 4, 5, 6, and 10 survive.
10. General provisions
10.1 Governing law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
10.2 Dispute resolution
Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association, with proceedings conducted in Wilmington, Delaware.
10.3 Injunctive relief
A breach of Sections 2 or 3 would cause LegisGate irreparable harm, and LegisGate is entitled to seek injunctive relief without bond.
10.4 Entire agreement
This Agreement constitutes the entire agreement between the parties with respect to Trial Access.
10.5 Patent pending notice
The LegisGate compliance intelligence engine methodology is the subject of a pending United States patent application with a priority date of March 2026.
